Atheris Terms & Conditions

Effective October 12, 2026

These Terms & Conditions apply to design, prototyping, digital fabrication, manufacturing and related services provided by Atheris, an Ontario-based business.

For the purposes of these terms, "Atheris," "we," "us" and "our" refer to the service provider. "Client" and "you" refer to the individual or business purchasing services or products.

1. Quotations, Scope of Work and Acceptance

All quotations are based on the information, specifications, quantities, materials and requirements available at the time of estimation.

Quotations may specify design time, manufacturing processes, materials, quantities, deposits, delivery arrangements and other project-specific conditions.

Unless otherwise stated, quotations do not include additional design revisions, significant specification changes, installation, professional certification, testing or services outside the agreed scope.

A project becomes binding when the Client accepts a quotation or otherwise authorizes work on agreed terms. These Terms & Conditions apply when provided to and accepted by the Client as part of that agreement.

Where a written quotation or separately signed agreement expressly specifies different conditions, those agreed conditions prevail to the extent of any conflict.

2. Deposits, Payment and Overdue Accounts

Atheris may require a deposit before beginning design, purchasing materials or commencing production. The amount and timing of any deposit will be specified in the applicable quotation or agreement.

Deposits are applied toward the total project price and are subject to the cancellation provisions below.

Unless otherwise agreed in writing, remaining payments are due upon receipt of the applicable invoice.

Where the following interest provision is disclosed and agreed as part of the contract, invoices remaining unpaid more than 14 days after the invoice date may accrue simple interest on the overdue principal at 2% per month, equivalent to a non-compounded annual rate of 24%. Interest does not itself earn additional interest.

Atheris may pursue reasonable and legally recoverable collection expenses, court filing fees and enforcement costs associated with overdue accounts.

Nothing in this section overrides applicable laws governing interest, collection practices or consumer rights.

3. Design Revisions and Additional Design Time

Minor edits and reasonable adjustments may be included within the original design fee at Atheris' discretion, depending on the agreed project scope.

Changes that substantially alter dimensions, geometry, functionality, appearance or the intended result may require additional design work.

Unless otherwise quoted, additional CAD design and development time is billed at $80 CAD per hour.

Atheris will communicate material changes in price or scope and obtain the Client's approval before performing additional billable work.

4. Client-Provided Information and Materials

Clients are responsible for providing accurate measurements, drawings, specifications, reference files, material requirements and intended-use information.

Atheris is not responsible for errors caused directly by materially incorrect or incomplete Client-provided information, except to the extent Atheris has expressly agreed to verify that information or is otherwise legally responsible.

Unless specifically included in the agreed scope, independent verification of fitment, compatibility, operating conditions and suitability for a particular application remains the Client's responsibility.

Clients supplying designs, CAD files, logos, photographs or other materials confirm that they hold or have obtained the necessary rights and permissions for their intended use.

5. Design Review and Approval

Where design approval is required, the Client is responsible for reviewing submitted renderings, drawings, prototypes, dimensions and specifications before authorizing final production.

Approval confirms acceptance of the design and specifications presented for review, subject to the agreed scope and applicable law.

Changes requested after approval may result in additional design fees, material costs, reprints or manufacturing charges.

Design approval does not excuse Atheris from manufacturing defects, failure to meet expressly agreed specifications or other obligations that cannot lawfully be excluded.

6. Manufacturing Processes, Materials and Tolerances

Atheris uses processes including additive manufacturing, resin printing, CAD development, 3D scanning, laser processing, UV printing and CNC machining.

Manufacturing outcomes vary depending on material selection, geometry, build orientation, machine capability, tolerances and intended use.

Reasonable variations may occur in dimensions, surface appearance, layer visibility, colour reproduction, finish and other characteristics inherent to the selected process.

Unless otherwise agreed in writing, precision tolerances, engineering-grade performance requirements, load ratings, heat resistance, chemical resistance, certification and other specialized specifications are not guaranteed beyond those expressly stated in the approved project scope.

Clients should disclose demanding environmental, mechanical or operating requirements before production begins.

7. Inspection, Defects and Reprints

Clients should inspect delivered products promptly and notify Atheris of visible damage, incorrect quantities, manufacturing defects or deviations from agreed specifications as soon as reasonably possible.

Where an issue results from a manufacturing defect or Atheris' failure to meet agreed specifications, Atheris will assess the issue and provide an appropriate remedy, which may include correction, repair, replacement or refund as required by the agreement and applicable law.

Reprints or modifications resulting from Client-requested changes, incorrect supplied specifications or revised requirements may incur additional charges.

Any requested reporting period is intended to help resolve issues promptly and does not eliminate statutory warranty or other legal rights.

8. Custom Orders, Cancellations and Refunds

Most products and services supplied by Atheris are custom-designed, made to order or manufactured to Client specifications.

Because custom work may require design time, specialized materials and dedicated production capacity, cancellations after commencement may result in charges for work reasonably performed, materials committed and other reasonable project-specific costs.

Where cancellation is permitted, any deposit or prepaid amount will be applied against properly chargeable costs, and any refundable balance will be returned.

Completed custom products are not generally eligible for discretionary change-of-mind returns where no defect or other valid legal basis for cancellation exists.

Nothing in this policy limits applicable consumer cancellation, refund, warranty or other statutory rights.

9. Production Schedules and Delivery

Estimated production and completion dates are provided in good faith based on anticipated workload, material availability, equipment availability and project complexity.

Unless expressly guaranteed in writing, completion dates are estimates rather than fixed delivery commitments.

If a material delay arises, Atheris will make reasonable efforts to communicate the change and discuss available options.

Shipping charges, delivery methods and any special packaging requirements will be specified where applicable.

Clients should report shipping damage promptly and preserve relevant packaging where reasonably possible to assist with a claim.

Applicable statutory delivery and cancellation rights remain unaffected.

10. Automotive, Functional and Safety-Critical Applications

Atheris manufactures custom components for a variety of applications, including automotive, mechanical, decorative, artistic and functional uses.

The Client is responsible for disclosing the intended application, operating conditions and any applicable safety, regulatory or certification requirements.

Unless expressly included in a written agreement, Atheris does not provide vehicle installation, independent safety certification, professional engineering certification, regulatory approval or validation of a component for safety-critical use.

Components intended for structural, high-load, safety-critical, regulated or similarly demanding applications should not be placed into service without appropriate evaluation, testing and, where required, professional approval.

This provision does not exclude responsibility for defects, misrepresentations, negligence or other liabilities that cannot lawfully be excluded.

11. Intellectual Property and CAD File Ownership

All original designs, CAD models, drawings, digital files, production methods, concepts and other intellectual property independently created by Atheris remain the property of Atheris unless otherwise expressly agreed in writing.

Payment for design or manufacturing services, including payment of all related invoices, does not automatically transfer copyright, source files, editable CAD files or ownership of Atheris-created intellectual property.

Upon full payment, the Client owns the physical products delivered under the agreement and receives the rights reasonably necessary to use those products for their intended purpose, subject to applicable law and any agreed restrictions.

Unless expressly authorized in writing, the Client does not receive a licence to use Atheris-created CAD files or designs to reproduce, distribute, sell, license or independently manufacture additional copies of the underlying design.

Editable CAD files, original project files and other digital source materials are not included in the sale of a physical product unless expressly identified as deliverables.

Where Atheris agrees to supply digital files, the written agreement must specify whether the Client receives a limited-use licence, broader reproduction rights or an assignment of ownership. Any assignment of copyright must meet applicable legal requirements.

The Client retains ownership of intellectual property originally supplied by the Client. Supplying those materials to Atheris grants Atheris only the permissions reasonably necessary to perform the agreed services, unless otherwise agreed.

Atheris' ownership claims do not extend to a Client's pre-existing intellectual property or third-party rights.

12. Confidentiality and Portfolio Use

Atheris may document completed projects through photographs, videos, renders and general descriptions for portfolio, website, social media and promotional purposes where permitted by the applicable project agreement and intellectual-property rights.

Atheris will respect confidentiality obligations, non-disclosure agreements, proprietary Client information and written restrictions agreed before publication.

Confidential drawings, commercially sensitive information and non-public Client project details will not be intentionally disclosed for promotional purposes without appropriate authorization.

Use of Client trademarks or logos remains subject to applicable rights and permissions.

Clients seeking additional confidentiality protections should notify Atheris before disclosing sensitive information or commencing the project so that appropriate written arrangements can be made.

13. Suspension of Work

Atheris may reasonably suspend ongoing work where an agreed deposit or payment remains outstanding, necessary Client approvals or specifications have not been supplied, or continuing the work would raise significant safety or legal concerns.

Where practical, Atheris will provide notice and an opportunity to resolve the issue.

Suspension may affect estimated completion dates.

Any resulting charges or cancellation consequences remain subject to the agreement and applicable law.

14. Limitation of Liability

Clients acknowledge that the performance and suitability of a custom component depend on its specifications, material, manufacture, installation, operating conditions and intended application.

To the extent permitted by applicable law, Atheris is not responsible for losses directly resulting from improper installation, misuse, unauthorized alterations, operation outside disclosed or agreed specifications, or materially inaccurate information supplied by the Client.

To the extent permitted by law, Atheris' contractual liability for a particular project will not exceed the amount paid by the Client for the affected goods or services.

This limitation does not apply where prohibited by law and does not exclude liability that cannot legally be limited, including applicable statutory rights or liability arising from conduct for which exclusion is not legally permitted.

Nothing in these terms eliminates any legally enforceable rights or remedies available to the Client.

15. Changes to Terms and Separate Agreements

Atheris may update the Terms & Conditions posted on its website from time to time.

Updated terms apply prospectively and do not automatically alter existing accepted contracts unless the parties lawfully agree otherwise.

Written project agreements, quotations and approved specifications form part of the applicable commercial arrangement.

If any provision is found unenforceable, the remaining provisions continue to apply to the extent legally permitted.

16. Governing Law, Disputes and Contact

These Terms & Conditions are governed by the applicable laws of Ontario and Canada, subject to any mandatory legal protections applying to the Client.

Clients are encouraged to contact Atheris promptly about concerns so that reasonable efforts can be made to resolve disputes before formal proceedings.

Nothing in these terms restricts a Client's ability to pursue any legal remedies that cannot lawfully be waived.
